The buying process
Identifying the type of business you want
In the first instance, we need to identify what sort of business you are looking to acquire. We start with a discussion to get to know you better and to find out how open you are to various ideas. Are you willing to consider a variety of businesses that would suit your strengths or are you focused on one particular category of business? Of course, the priority is to ensure that you are going to enjoy working the business that you take on and that you are happy in your new life and your new job. Being happy and enjoying your work will make the transition into your new life much easier and more fulfilling.
Sourcing the business and starting the buying process
When we have ascertained your budget and the type of business you want to run, we will begin our search for the right one for you. At this point we will write a formal contract and the deposit will be placed with an Escrow Attorney who will look after the funds until the purchase is complete. The buyer and seller usually split the cost of the closing attorney fees. Generally, they are approx. $2,000 for a business that costs between $100k and $300k.
Applying for a Visa
For purchasers that are applying for a Visa, first we need a letter from the Escrow Attorney that must be submitted with a Visa application. This letter shows that the funds are available once the Visa has been approved and provided. All funds required to pay for the purchase need to be placed with the Attorney prior to making the Visa application.
What you need to know about obtaining a Visa to live in the US whether you are looking to buy a business as part of your move or simply if you are looking for more information about the kind of visa you will need.
A B visa is a business or Pleasure visa. It allows non-immigrant visitors to enter the US on a temporary basis for business (B-1) or for pleasure. This could also include tourism or medical treatment (B-2). If you are going on holiday, for example, you will need a B-2 Visa.
E2 – Treaty Investor Visa
This type of visa is for people who are looking to purchase a business in the US. You must not currently own a business in your country of origin. The visa allows you to live and work in the US as long as you are working within your own business. It also allows your partner to apply for a work permit. This enables them to apply for non-government jobs in the United States
If you have already worked abroad for one year in the last three years, and you will be employed by the same employer within the US, then you will need an L visa. This is for those that are working in a managerial, executive or specialised role.
An EB5 is a route to a Green Card. To apply for an EB-5 you must invest between $500,000 and $1,000,000. We highly recommend that you carefully consider this option as there are others.

Once the contract between buyer and seller has been agreed, we move to Due Diligence. The buyer reviews three years’ worth of books and records, including tax returns. If they prefer not to do this themselves they may employ the services of an independent accountant.
Once Due Diligence has been carried out and is given the green light by the accountant, the Visa application, if required, will be put together. Once the Visa has been approved the transaction can then be finalised.
if a Visa is not required the process can move straight to closing. The Buyer then takes inventory, if appropriate for the business in question, and then the process moves to closing. The Escrow Attorney will prepare the documentation required and finalize the transaction.
For many this can be a daunting procedure and often the first or only time they will do it. We do our utmost to make the process straight forward and for the buyer to feel comfortable with all aspects of the process. Selling a business
It can take between five to eight months in general to sell a business. Now this is an average and not an exact figure. Circumstances can vary and some can take longer to sell than others. Once you have all of the information you need to start marketing the business it should be a shorter process. Make sure the business is priced correctly – don’t overprice it with the intention to reduce it. This may turn off potential buyers who would otherwise be interested. Consider the size of your down payment as well. If you ask for a lower down payment it will help lead to a quicker sale.
